PartneaHub Collaboration Agreement

Article 1: Purpose of the Agreement

The collaboration agreement between PartneaHub and business introducers defines the framework and common objectives aimed at facilitating the connection of prospects seeking business partners. PartneaHub, as a facilitating platform, commits to providing effective and high-quality matchmaking services. On the other hand, business introducers are responsible for identifying prospects and directing them to PartneaHub to finalize partnerships. This agreement outlines mutual expectations, performance commitments, and compensation terms, all within a win-win collaboration spirit.

Article 2: Conditions of Membership

To become a business introducer at PartneaHub, registration is done by simply filling out the dedicated online form on our website. Once the form is submitted, the introducer will receive a unique code to share with their prospects in order to direct them to our services. Registration implies acceptance of this agreement, as well as the defined terms and conditions. No registration fees are required, and the introducer can immediately start searching for prospects. Membership is open to anyone with the necessary commercial skills or willing to undergo training to succeed.

Article 3: Roles and Responsibilities of the Provider

The business introducers' primary mission is to identify and attract prospects interested in PartneaHub's matchmaking services. They must promote our services through various marketing channels, such as social media, email campaigns, or professional events. The introducer must ensure that each prospect properly fills out the online registration form and uses the unique code provided. Once the prospect is directed to PartneaHub, the introducer's mission is complete. The PartneaHub team then takes over to assess the prospect's needs and find the appropriate partner.

Article 4: Obligations of PartneaHub towards the Provider

PartneaHub is committed to providing comprehensive support to its business introducers to maximize their chances of success. This includes access to tailored marketing tools, training resources, and personalized support to help them master the best prospecting practices. PartneaHub also offers regular advice to refine sales strategies and provides assistance when needed. Through our collaborative approach, business introducers benefit from an environment conducive to success, with the right resources to grow their business and network.

Article 5: Status of the Business Provider

Business introducers operate under the status of independent freelancers. As such, they enjoy great freedom in organizing their work according to their own schedule and methods. However, this status also comes with responsibilities. The introducer must ensure they comply with the terms of this agreement, deliver tangible results, and demonstrate professionalism in carrying out their tasks. As independents, business introducers make their own business decisions, while being supported by PartneaHub to achieve their goals in the most effective way.

Article 6: Collaboration Terms

The collaboration between PartneaHub and the business introducer follows a structured process. First, the introducer registers through the online form and receives a unique code for each prospect. They use this code to direct prospects to PartneaHub, where the team takes over the needs analysis and partner search. The introducer no longer needs to be involved once the prospect is registered, and the negotiation process is fully managed by PartneaHub. Payment is triggered after the video conference, and a commission is paid after one year if the partnership is successful.

Article 7: Remuneration and Payment

Business introducers are compensated transparently and attractively. A fixed payment of $17 is made immediately after the video conference validating the partnership agreement between the prospect and the partner found by PartneaHub. Additionally, the introducer will receive a 5% commission on the profit generated by the partnership, paid one year after the agreement is signed. Payments are made via PayPal, ensuring a simple, secure, and fast process. Introducers are encouraged to provide their PayPal address during registration to facilitate the management of their payments.

Article 8: Confidentiality and Data Protection

PartneaHub and the business introducer mutually commit to maintaining the confidentiality of the information exchanged during the collaboration. Personal and professional data collected, whether from prospects or partners, must be handled with the utmost care and in accordance with data protection laws. No information should be shared without explicit consent. The business introducer must also ensure the confidentiality of the business strategies and resources shared by PartneaHub, thus safeguarding the security and confidentiality of sensitive data throughout the collaboration.

Article 9: Intellectual Property

The resources, tools, content, and materials provided by PartneaHub within the scope of this collaboration are protected by intellectual property rights. The business introducer is entitled to use them only for their mission with PartneaHub. Any reproduction, distribution, or exploitation for commercial or other purposes without prior authorization from PartneaHub is prohibited. The introducer must also respect the company's trademarks, logos, and elements, and agree not to use them in a way that could harm PartneaHub's image or interests.

Article 10: Non-Exclusivity

The collaboration agreement between PartneaHub and the business introducer is non-exclusive. The introducer is free to collaborate with other companies or entities, provided that they respect the confidentiality obligations and conditions defined in this agreement. This freedom allows the introducer to expand their professional network and maximize opportunities without constraint, while continuing to work for PartneaHub. However, the introducer agrees not to interfere with PartneaHub's interests and to prioritize quality relationships with the company.

Article 11: Duration of the Agreement

This agreement takes effect as soon as the business introducer registers via the online form and remains valid for an indefinite period unless terminated by either party. The collaboration may be tacitly renewed unless stated otherwise. Renewal is based on the evaluation of the results of the collaboration and the objectives achieved by both parties. In the case of non-renewal or substantial modification of the terms of the agreement, either party may notify the other in writing with reasonable notice.

Article 12: Termination of the Agreement

The agreement may be terminated by either party at any time, provided that a written notice of 30 days is given. In the case of a serious breach of the obligations stipulated in this agreement, such as a violation of confidentiality or misuse of provided tools, the agreement may be terminated immediately. The introducer agrees to cease all activities related to PartneaHub and return all confidential resources or information. Termination does not suspend the obligation to pay commissions owed to the introducer for ongoing partnerships, subject to the conditions of the agreement.

Article 13: Dispute Management

In the event of a dispute between PartneaHub and the business introducer, both parties agree to resolve the conflict amicably through direct discussions. If an amicable agreement is not reached, the dispute will be submitted to mediation or arbitration, according to the laws in force in the jurisdiction chosen by the parties. The mediation or arbitration will be conducted by a mediator or arbitrator designated by mutual agreement between the parties, within a reasonable time frame. The decision resulting from this procedure is considered final and binding.

Article 14: Commitment of Loyalty

The business introducer agrees to represent PartneaHub in a professional, honest, and ethical manner, respecting the values and image of the company. They must avoid any behavior that could harm PartneaHub’s reputation or business interests. The introducer must also inform PartneaHub of any situation that could create a conflict of interest and ensure they always act in the best interest of the company and its clients. A breach of this loyalty commitment may result in the immediate termination of the collaboration agreement.

Article 15: Marketing Practices and Respect for PartneaHub’s Image

Business introducers agree to avoid any awkward, misleading, or intrusive marketing practices that could harm the image of PartneaHub. They must ensure they adopt ethical, transparent, and respectful methods toward prospects, avoiding aggressive tactics, unfounded promises, or any behavior that could damage the company's reputation. If such practices are found, PartneaHub reserves the right to immediately terminate the collaboration agreement without notice. The business introducer will also be held accountable for any potential damage caused to PartneaHub's image due to these practices.

Article 16: Modification and Validity of the Agreement

The terms of this agreement may be modified at any time by PartneaHub, provided that prior notice is given to the business introducer. Any modification will be valid once the introducer accepts it, either by signing or electronically validating it, depending on the communication method chosen by PartneaHub. If a modification significantly affects the introducer's obligations, they may terminate the agreement, respecting the notice period specified in Article 12. The agreement remains valid as long as all parties uphold the defined commitments and the general terms have not been modified.
