Preamble to the PartneaHub Services Agreement


This agreement formalizes the collaboration between the client, seeking strategic partners for their business, and PartneaHub, an expert in partnership search and negotiation. It defines the mutual rights, obligations, and commitments, ensuring transparency and efficiency at every stage of the process. PartneaHub commits to mobilizing its global network of freelance negotiators to search for, evaluate, and present partners that meet the client's specific needs. In return, the client agrees to provide the required information and documents, including the payment guarantee certificate, and to adhere to the agreed financial terms. This agreement aims to maximize opportunities and the success of our mutual collaboration.

By registering online for a partner search, the client automatically agrees to the PartneaHub Service Agreement. This agreement formalizes the mutual commitment, binding the client to the obligations defined in the agreement and ensuring the adherence to the conditions necessary for an effective and successful collaboration.

Purpose of the Agreement: Definition of the services provided by PartneaHub

This agreement outlines the service provided by PartneaHub to the client. We commit to searching for strategic, commercial, financial, or technological partners that meet the client’s specific needs. This includes analyzing requirements, mobilizing our network of freelance negotiators, conducting preliminary negotiations with potential partners, and facilitating the final connection. PartneaHub also acts as a facilitator, offering support to optimize collaboration opportunities. This document formalizes our mission, ensuring a professional and personalized service at each step while clearly defining mutual responsibilities and commitments.


Membership and Acceptance: Automatic Online Membership Conditions and Mutual Commitment

By confirming their online registration, the client automatically accepts the terms of the PartneaHub Service Agreement. This agreement entails the client’s commitment to providing accurate information, a payment guarantee certificate, and adhering to the defined financial obligations. In turn, PartneaHub commits to providing its services professionally and ensuring the confidentiality of the client's data. Online registration constitutes a legal and formal acceptance of the agreement, binding both parties to its terms. This process ensures simplicity, transparency, and mutual commitment from the outset of the collaboration.


Duration of the Agreement: Period of validity and conditions of renewal

The PartneaHub Service Agreement is valid for an initial period of one year from the date of online registration. This period covers all stages, from partner search to matchmaking and follow-up. At the end of the year, the agreement may be renewed by mutual agreement between the parties if the sought-after partnership has not yet been concluded or if the client wishes to benefit from additional services. The renewal is subject to the same conditions, offering flexibility and continuity to fully meet the evolving needs of the client.

Customer Obligations: Provision of necessary information, payment guarantee certificate, and other commitments

The client agrees to provide accurate and complete information regarding their partnership needs, including targeted sectors, desired objectives, and any other relevant details. This information is essential for an effective search. Additionally, the client must provide a payment guarantee certificate confirming their ability to pay the agency fees once an agreement is reached with a partner. The client also commits to adhering to communication deadlines and actively collaborating with PartneaHub throughout the process. Any omission or incorrect information may hinder the success of the mission entrusted.


PartneaHub Obligations: Research, negotiation and connection with relevant partners

PartneaHub is committed to leveraging its expertise and global network to identify the best-suited partners for the client's needs. This includes a thorough analysis of the information provided, preliminary negotiations with potential partners, and presenting qualified candidates. We guarantee a professional service, based on confidentiality and transparency. PartneaHub also supports the client during the final discussions to facilitate the conclusion of agreements. Our goal is to maximize the chances of success for the partnership while minimizing constraints for the client, through a personalized approach and experienced negotiators.


Financial Terms: Agency fees, commission on profits and payment terms

The agency fee is $170 and must be paid once a collaboration agreement is reached between the client and the partner. This fee is paid immediately at the end of the video conference organized between the client, the potential partner found, and a PartneaHub expert to define the terms of the agreement. In addition, a 35% commission on the profits generated by the partnership is due after one year, if financial results are achieved. If the partnership has not generated profits after one year, the commission is carried over to the following year. These terms ensure alignment of interests between PartneaHub and the client. All payments are made exclusively via PayPal to ensure security and traceability. These provisions ensure a fair and transparent service.

If you do not provide a payment guarantee certificate, you can pay the agency fees in advance via PayPal. These funds are held in our account until the partnership is concluded. In case of dissatisfaction, we will provide a full refund. This solution ensures your peace of mind and satisfaction.

Research and Negotiation Process: Steps in Service Delivery

The search and negotiation process consists of six essential steps: registration and gathering of needs, in-depth analysis of the information provided, targeted search for potential partners, preliminary negotiation by presenting the client's strengths, making the connection for final negotiation, and follow-up of the concluded partnership. Each step is carried out with care to ensure optimal personalization and maximize the chances of success. PartneaHub mobilizes its freelance negotiators worldwide, combining local expertise with extensive networks. This methodology ensures professional, transparent support focused on tangible results.


Confidentiality and Data Protection: Commitments relating to the confidentiality of information exchanged

PartneaHub is committed to respecting the confidentiality of data and information exchanged as part of its services. The information provided by the client, including their objectives, needs, and strategies, is protected against any unauthorized use. Our team and freelancers are bound by strict confidentiality clauses. PartneaHub uses secure tools for the processing and storage of data, in accordance with current standards. The client also agrees not to disclose sensitive information regarding potential partners or PartneaHub's processes. This reciprocity ensures a collaboration based on trust and security.


Intellectual Property: Rights to documents and tools used or provided

The documents, methodologies, tools, and materials provided by PartneaHub as part of the service delivery remain the exclusive intellectual property of PartneaHub, unless otherwise explicitly agreed. The client is authorized to use these elements only for the purposes defined in this agreement. Any reproduction, modification, or dissemination of the documents without prior authorization from PartneaHub is prohibited. Similarly, the elements shared by the client remain their intellectual property. PartneaHub agrees not to use them for any purposes other than those outlined in this agreement. This framework protects the interests of both parties and strengthens their collaboration.

Termination of the Agreement: Conditions and Procedures for Termination by Either Party

The agreement may be terminated by either party with a 15-day written notice. The client may terminate the agreement in case of duly justified dissatisfaction with the services provided. On the other hand, PartneaHub may terminate the agreement in the event of non-compliance by the client, such as failure to make payments or providing incorrect information. In case of termination, all financial obligations due up to that date remain payable. An early termination does not cancel the fees already incurred by PartneaHub for partner search and negotiation activities.


Liability and Limitations: Extent of PartneaHub’s responsibilities and exclusions

PartneaHub commits to making every effort to search for and present partners that meet the client’s needs. However, PartneaHub cannot guarantee the success or profitability of the partnerships formed. PartneaHub’s responsibility is limited to the services of partner search and introduction. The final negotiations and management of the partnerships remain entirely the responsibility of the client. PartneaHub disclaims any liability in case of disputes or conflicts between the client and the partners after the introduction. This limitation ensures a clear distribution of responsibilities between the parties.


Force Majeure: Management of cases of force majeure affecting the performance of obligations

PartneaHub shall not be held responsible for the non-performance or delay in the performance of its obligations in the event of force majeure. This includes, but is not limited to, natural disasters, pandemics, armed conflicts, economic disruptions, or any other unforeseeable situation beyond its control. In such cases, the parties will strive to find an amicable solution to minimize the impacts. If the force majeure event persists beyond 60 days, the agreement may be terminated without penalty for either party. This clause protects both parties from unforeseen and unavoidable situations.

Disputes and Conflict Resolution: Dispute Resolution Mechanisms

In the event of a dispute arising from the execution or interpretation of the agreement, the parties agree to seek an amicable solution before resorting to legal proceedings. If no amicable agreement is reached within 30 days, the dispute will be submitted to an accredited mediator chosen jointly. If mediation fails, the dispute will be settled by the competent courts of the country where PartneaHub is registered. This procedure ensures an efficient and fair resolution while preserving the relationship between the parties as much as possible.


General Provisions: Final clauses, amendments and possible annexes

The general provisions of this agreement govern all aspects not covered in the previous articles. Any modification or amendment to the agreement must be approved in writing and signed by both parties. Any annexes, detailing specific aspects of the services or obligations, form an integral part of the agreement. If any clause of the agreement is deemed invalid by a court, the remaining clauses shall remain fully in force. This agreement constitutes the entire understanding between the client and PartneaHub, superseding any prior agreement or communication. This section ensures the clarity and legal coherence of the document.
